Private Equity Investment

A private equity group was in the final stages of a deal to purchase the number two U.S. manufacturer in a particular home furnishings sector when they turned to Sedulo consultants for a final review of the market, technology, competition and positioning.

Projections based on the client's internal research team findings suggested that one of the target company's new technologies would boost the company's revenues by as much as 40%. Sedulo spent seven weeks conducting primary research in which time we interviewed industry experts, retailers, manufacturing competitors, distributors and suppliers.

The findings of the study revealed that the target company was loosing one of its major national retailers. Since the target company manufactured its products in China, its retail customers decided to source the products directly from China thereby eliminating the middle man and reducing costs. The research suggested other large retailers would follow a similar pattern. Although none of this information had been made public, Sedulo Group consultants were able to elicit the information from suppliers, retailers and employees.

Additionally the study revealed that although the new technology was patented, similar technologies existed and were already headed for the market.

Based on the findings, the client agreed with Sedulo's analysis that the target company held an indefensible market position. The client subsequently elected to withdraw its offer. Within 12 months the target company's market share had dropped from 37% to 22%.
